Default June is not old news...

I didn't think June is old news? I post at various forums, not just this one. You are still wrong! That's the funny part....why rebuff that you are wrong. 1: It is not Shelbyautos its Carroll Shelby International2: Ginseng bought out CS not the other way around.

Did I miss something here? Don't think so! Newbie to this forum yep, newbie to reading the news nope! Your response made me mad because of you ingnorance to the facts.

Like has been already stated, this is old news - get over yourself. You are right that I didn't bother going back and researching the actual new name change - big deal. but you are the one who is wrong, Ginseng was a defunct company - did you read the entire link?

Why don't you bother talking or emailing people at Shelby to find out the truth? Have you ever been to Shelby?

Watch whom you call ignorant - you are looking in a mirror.

Default Forum subject matter

Forums are basically heresay and conjecture. Most just guess like "the other guy did". I copied news information from a news source not the forum where some are guessing at FACTS. Looking up GINSENG in the forum on previous postings is not FACT, that's why I looked it up through AP/Yahoo! I call a spade a spade and you definintely are something else in my book, not realistic with FACTS. You are wrong bucko!

I'll bet you bought Enron based on the new sources and company issued data as well.

Talk with the guys in Vegas or better yet, someone on the Street.

May I offer some assistance in posting these factual links into this thread so we can all be better informed? Let me offer one below.

2
Private companies who wish to trade their corporate stock on a public stock exchange may undergo an IPO or a Reverse Merger.
Reverse Mergers have many attractive characteristics over an IPO that make them an increasingly popular option of going public. Reverse Mergers are accomplished through the use
of a public shell, which is an inactive company that has marketable and tradable shares of its stock registered with the SEC and is held by the general public. Your private company is acquired by the public shell and obtains the majority of its stock, completing the merger. Now, the private company can change its name to reflect the identity of the new public company and can appoint and elect its management and Board of Directors. The public shell is the legal surviving entity, yet the operating business remains unaffected by the transaction. The owners of the previous private company now have all the benefits of public ownership. There are many varieties of public shells.

They may be fully or partially reporting and may or may not have cash assets. Also, the number of authorized and issued shares may vary as well as the number of shareholders. The most
concerning aspect in considering a reverse merger with a public shell is the potential of undiscovered liabilities in the shell.

What are the advantages of a reverse merger vs. an Initial Public Offering?
· The costs are significantly less than the costs required for and initial public offering
· The time is considerably less than that for an IPO
· The company does not require an underwriter
· There is less dilution of ownership
· A long and stable earnings history is not required

What are the disadvantages of a reverse merger vs. an Initial Public Offering?
· No cash is raised, so it must be raised through a private placement or secondary offering
· Potential liabilities that may arise if the Due Diligence process is poor
What are the benefits of converting your private stock into publicly traded stock?
· Increased liquidity for shareholders
· Increased success completing private placements
· Ability to raise additional capital via secondary offerings
· Company stock can be used to acquire other companies
· Ability to use stock incentive plans to attract and retain key employees
· Creates an exit strategy for investors

If all this is confusing, for a real live example, see the press release Johnny posted above. For further facts, read Ginseng's SEC filings.

Newsflash! BFD-- only small minds and piss poor attitudes really give a ----( fill in the blank )and try to pass any of this drivel on as something someone cares about -- You don't like Shelby, fine, you don't like SAI, fine, you don't like SPF fine, you don't like FFR, fine, you don't like any other mfg'rs car fine--then get rid of your Cobra--or JUST ENJOY THE DAMN THING, homebuilt or factory built, from SAI or street Beast--

There is something really going wrong here on CC--used to be fun now it's like watching little old ladies fight over a cabbage--

Only those who probably won't get it that bring this type of thing up over and over and over then turn to angry asides to those that don't share their views--
Guess I'm just a little pissed at what has slowly been happening here on CC

Where can I buy one of those original Shelbys.
You know the one, Made to Shelby specs and subcontracted to Chrysler.
Man those are some high performance cars and are very rare.
I got to have one, And it's got to have his name and CS vin# on it!
Boy, Shelby kept Chrysler from going out of business. HU

Well all I can say is that some of his cars with his name on it don't have the value of others. You can probably pick up one of those Chryslers in the same place they sell old Aces or Bristols.

Lets not talk about Shelby's involvement with the Viper though. Nah. Why do that. What world champion or world class performance cars has AC/Autokraft been involved with lately???? Hmmm.

I doubt everything that AC made has investment value. Wait, mabye some of their invalid wagons ????

However, try to compare the value of original AC Ace to an original GT350 or GT500. Not even in the same universe. Further, original AC Cobras don't have half the value of original Shelbys Cobras. This is just plain fact.

You stick with AC. I'll stick with the father of the Cobra and the company that started it all and brought home world championships.
